Terms & Conditions

The basis on which Tindrel provides supply chain and logistics advisory services.

These Terms and Conditions govern the relationship between Tindrel ("we", "us") and the individual or business entity ("you", "the Client") that engages our advisory services. By submitting an enquiry, accepting a scope of work, or making a payment, you agree to these terms. Please read them carefully before proceeding.

1. Definitions

  • "Services" — the supply chain and logistics advisory activities described in a confirmed scope of work.
  • "Engagement" — a specific project or ongoing arrangement between Tindrel and the Client.
  • "Deliverables" — documents, maps, notes, or reports prepared by Tindrel as part of an Engagement.
  • "Working Day" — any day from Monday to Friday, excluding Thai public holidays.

2. Scope of Services

Tindrel provides operational advisory services focused on supply chain structure, logistics flow, and process documentation. Our work is educational and informational in nature.

Our services do not constitute financial advice, legal advice, accounting services, or any activity that requires a professional licence under Thai law or the laws of any other jurisdiction. Nothing in our Deliverables should be interpreted as a representation about investment outcomes or business performance.

The specific scope for each Engagement will be agreed in writing between Tindrel and the Client before work begins.

3. Engagement Process

An Engagement begins when:

  • The Client submits an enquiry and Tindrel confirms it can proceed
  • Both parties agree on a written scope of work, including deliverables, fees, and timeline
  • Tindrel receives the agreed initial payment where applicable

Submitting an enquiry form does not create a binding obligation on either party. An Engagement only commences upon written confirmation and, where required, receipt of payment.

4. Fees & Payment

Fees for each service tier are displayed on our website and confirmed in the scope of work. Current indicative pricing is:

  • All fees are quoted in Thai Baht (THB) inclusive of applicable VAT where required by law
  • Payment terms will be specified in the scope of work; typical arrangements involve an initial deposit of 50% before commencement
  • Fees are not contingent on specific outcomes or operational results
  • Overdue payments may attract interest at the rate specified in Thai commercial law

5. Deliverables

Tindrel will prepare Deliverables as described in the agreed scope of work. These may include flow maps, process notes, observation lists, and summary documents. All Deliverables are advisory in nature and represent Tindrel's professional observations based on information available at the time of the Engagement.

Tindrel does not warrant that following the observations in a Deliverable will produce any particular operational or commercial outcome. The Client is responsible for deciding how to act on advisory information.

6. Confidentiality

Both parties agree to treat confidential information shared during an Engagement with care. Tindrel will not disclose the Client's operational details, supplier relationships, or business data to third parties without consent, except where required by law.

The Client agrees not to share Tindrel's proprietary frameworks, templates, or advisory methods with competitors or third parties without prior written agreement.

7. Intellectual Property

Upon full payment, the Client receives a non-exclusive licence to use any Deliverables produced for their internal business operations. Tindrel retains ownership of underlying methodologies, frameworks, and templates used in producing the Deliverables.

Deliverables may not be resold or shared publicly without Tindrel's written consent.

8. Limitation of Liability

Tindrel's aggregate liability to the Client for any Engagement shall not exceed the total fees paid by the Client for that Engagement. Tindrel shall not be liable for indirect, incidental, or consequential losses, including loss of revenue or business opportunity.

These limitations do not apply in cases of fraud or wilful misconduct on the part of Tindrel.

9. Client Obligations

To support the delivery of Services, the Client agrees to:

  • Provide accurate and reasonably complete information about the operational area under review
  • Make relevant team members available for scheduled sessions and communications
  • Provide timely feedback on draft materials where requested
  • Make payments as agreed in the scope of work

10. Termination

Either party may terminate an Engagement by providing 14 Working Days' written notice. Where the Client terminates, fees for work completed up to the notice date remain payable. Where Tindrel terminates for reasons other than a breach by the Client, Tindrel will refund any fees paid for work not yet completed.

Tindrel reserves the right to suspend or end an Engagement immediately where the Client provides materially false information or requests activities that fall outside the scope described in Section 2.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or in connection with these Terms shall be subject to the jurisdiction of the Thai courts, with Bangkok as the agreed venue.

12. Amendments

Tindrel may update these Terms from time to time. Changes will be posted on this page with a revised effective date. For active Engagements, changes do not apply retrospectively unless agreed in writing by both parties.
